Terms of Service
1. Sovereign Agreement & Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Licensee") and Neal Frazier Tech (operating under the NullAI Platform and entity representation of Neal Frazier, GitHub: @1nc0gn30).
By accessing, evaluating, or purchasing a license to PromptMaster Studio (the "Service", "Software", or "Workstation"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Software.
2. Sovereign Lifetime Commercial License
Upon payment of the one-time $19 founding fee (or applicable promotional price), Neal Frazier Tech grants you a perpetual, worldwide, non-exclusive, non-transferable commercial license to use PromptMaster Studio.
- Zero Recurring Fees: The Pro license is a perpetual single payment. There are zero monthly or annual subscription fees.
- Commercial Exploitation Rights: You are granted unrestricted rights to use all transformed prompts, AST scaffolds, and system directives in proprietary, commercial, client, and production applications without paying royalties.
- Free Future Updates: Pro licensees receive lifetime access to future model scaffolding updates (Claude, GPT, Gemini, DeepSeek, and open-source formats) at zero additional cost.
3. Local-First Processing Guarantee
PromptMaster Studio is architected as a 100% client-side workstation:
- All AST parsing, static heuristic linting, token cost calculations, secret audits, and XML scaffold generation run exclusively in your browser's local JavaScript runtime.
- Your proprietary prompts and AI instructions are never transmitted to, inspected by, or stored on remote servers owned by Neal Frazier Tech.
- You are solely responsible for keeping local browser backups of your prompt versions and configuration states.
4. Payments, Cryptographic Assets & Pricing
We support dual verified payment rails for software licenses:
- Stripe: Credit Cards, Apple Pay, and Google Pay transactions are processed securely by Stripe Inc. Your payment details are governed by Stripe's Security Standards.
- DePay Web3 (Solana): Decentralized peer-to-peer payments via SOL, USDC, or USDT directly on the Solana blockchain. Blockchain transaction fees (gas) are the responsibility of the payer.
5. 30-Day Money-Back Guarantee & Refunds
We stand firmly behind the utility and craftsmanship of PromptMaster Studio. If you are not satisfied with the software for any reason within 30 days of purchase:
- Contact our direct support desk at support@nealfrazier.tech or submit a ticket through our Support Hub.
- Include your Stripe receipt email or Solana transaction signature.
- We will issue a 100% full refund within 24 to 48 business hours, no cumbersome questions asked.
6. Disclaimer of Warranties & Limitation of Liability
The software is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
To the maximum extent permitted by applicable law, Neal Frazier Tech and Neal Frazier shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or operational continuity resulting from your use of or inability to use the Software.
7. Governing Law & Contact
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia and the United States of America, without regard to conflict of law provisions.
